Operator Partnership Agreement
Effective Date: 9 July 2026
Table of Contents
1. Parties
This Operator Partnership Agreement ("Agreement") is entered into between:
Sky Charter India ("Platform", "We", "Us"), an aviation marketplace and booking facilitation platform; and
The Operator ("You", "Your"), a DGCA-approved charter operator seeking to list aviation services on the Platform.
2. Platform Services
Sky Charter India provides the following services to Operators:
- Listing of operator aircraft and services on the Platform
- Lead generation and customer inquiry facilitation
- Booking coordination and communication facilitation
- Customer support and query resolution assistance
- Marketing and promotional support for operator services
Sky Charter India does not guarantee any minimum number of leads, bookings, or revenue to the Operator.
3. Operator Obligations
The Operator agrees to:
- Maintain valid DGCA approvals and all required operating certificates
- Ensure all aircraft are airworthy and properly maintained
- Maintain adequate insurance coverage for aircraft, crew, and passengers
- Comply with all applicable DGCA regulations, civil aviation requirements, and laws
- Provide accurate and up-to-date information about aircraft, services, and pricing
- Respond to customer inquiries and booking requests in a timely manner
- Honor confirmed bookings unless prevented by force majeure or safety concerns
- Handle all refunds, compensation, and customer disputes arising from operator actions
- Notify Sky Charter India of any changes to operator status, certifications, or aircraft fleet
4. Aircraft Requirements
All aircraft listed on the Platform must:
- Hold a valid Certificate of Airworthiness issued by DGCA
- Be registered in India or hold valid foreign operating permissions
- Be maintained in accordance with DGCA-approved maintenance programs
- Have valid insurance coverage as required by DGCA regulations
- Be operated by duly licensed and trained crew members
5. Customer Interaction
The Operator acknowledges that all user inquiries and quote requests are routed through Sky Charter India. The Operator shall not directly contact customers for marketing purposes without prior approval from Sky Charter India.
The Operator agrees to handle all customer communications professionally and in accordance with applicable consumer protection laws. The Operator shall not misrepresent services, pricing, or aircraft capabilities.
6. Payment Terms
Where Sky Charter India collects payment from customers on behalf of the Operator, the Platform shall remit the agreed amount to the Operator within the timeframe specified in the operator onboarding documentation, less any applicable platform fees.
Where customers pay the Operator directly, the Operator is solely responsible for payment collection, invoicing, and tax compliance. Sky Charter India shall not be a party to such transactions.
7. Indemnity & Hold Harmless
The Operator shall defend, indemnify, and hold harmless Sky Charter India, its directors, officers, employees, and agents from and against all claims, demands, legal proceedings, regulatory actions, damages, losses, liabilities, penalties, costs, and legal fees arising from or related to:
- The Operator's services, operations, or failures
- Any customer complaint or dispute related to flight execution
- Operator's breach of contract or applicable law
- Operator cancellations, delays, or defaults
- Aircraft accidents, incidents, or safety violations
- Regulatory violations or DGCA enforcement actions
- Any claim arising from the Operator's negligence or misconduct
8. Limitation of Platform Liability
Sky Charter India's aggregate liability under this Agreement shall not exceed the total platform fees paid by the Operator to Sky Charter India in the twelve (12) months preceding the claim. Sky Charter India shall not be liable for:
- Operator's failure to perform services
- Aircraft unavailability or technical failures
- Customer disputes or refund claims
- Regulatory actions against the Operator
- Indirect, consequential, special, or punitive damages
9. Termination
Either party may terminate this Agreement with thirty (30) days' written notice. Sky Charter India may terminate this Agreement immediately if the Operator:
- Breaches any material term of this Agreement
- Loses DGCA approval or operating certificates
- Engages in fraudulent or deceptive practices
- Receives repeated customer complaints
- Violates applicable laws or regulations
10. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information, customer data, and business information shared during the course of this Agreement. This obligation survives termination of the Agreement.
11. Dispute Resolution
Any dispute arising out of or in connection with this Agreement shall be resolved by a sole arbitrator mutually appointed by the parties, by ad-hoc arbitration with the seat at Jodhpur, Rajasthan, in accordance with the Arbitration and Conciliation Act, 1996 as amended. The arbitration proceedings shall be conducted in English.
12. General Provisions
This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof. It shall be governed by the Laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and applicable DGCA regulations.
If any provision is found invalid, the remaining provisions shall continue in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach.
